Terms of Service

These Terms of Service ("Terms") govern your access to and use of SimpleTrucking's platform, website, Telegram bot, and related services (collectively, the "Service") provided by SimpleTrucking LLC ("SimpleTrucking", "we", "us", or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

SimpleTrucking provides AI-powered tools for trucking dispatch operations, including but not limited to: rate confirmation extraction, automated load status updates, and an AI dispatcher assistant. Features may evolve over time.

2. Account registration

You must be at least 18 years old and authorized to act on behalf of any company you represent.
You are responsible for keeping your login credentials secure.
You are responsible for all activity that occurs under your account.
You agree to provide accurate, current, and complete information.

3. Acceptable use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
Upload content that infringes intellectual property rights or contains malware.
Attempt to reverse-engineer, decompile, or scrape the Service.
Resell, sublicense, or redistribute the Service without our written permission.
Interfere with or disrupt the integrity or performance of the Service.
Use automated systems to access the Service in a way that exceeds reasonable use.

4. Subscription and billing

Paid plans are billed monthly or annually in advance, depending on the plan you select.
Fees are non-refundable except where required by law.
We may change pricing with at least 30 days' notice. Continued use after a price change constitutes acceptance.
You can cancel your subscription at any time; access continues through the end of the paid period.

5. Your content

You retain all rights to the content you upload to the Service ("Customer Content"). You grant SimpleTrucking a limited license to host, process, and display Customer Content solely to provide the Service to you. We do not use your Customer Content to train public AI models without your explicit consent.

6. Intellectual property

The Service, including all software, designs, logos, and content (other than Customer Content), is owned by SimpleTrucking and its licensors. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

7. Service availability

We strive for high availability but do not guarantee uninterrupted operation. Maintenance, third-party outages, or other factors may temporarily affect the Service. Enterprise plans may include a separate Service Level Agreement (SLA).

8. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. AI extraction is highly accurate but not perfect; you remain responsible for verifying critical operational data.

9. Limitation of liability

To the maximum extent permitted by law, SimpleTrucking will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or business opportunities arising out of your use of the Service. Our aggregate liability for any claim shall not exceed the fees you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold SimpleTrucking harmless from any claims, damages, or expenses arising from your violation of these Terms, your Customer Content, or your use of the Service.

11. Termination

We may suspend or terminate your access to the Service if you violate these Terms or engage in conduct that we reasonably believe is harmful to the Service or other users. You may terminate your account at any time by contacting us.

12. Changes to these Terms

We may update these Terms periodically. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance of the revised Terms.

13. Governing law

These Terms are governed by the laws of the Republic of Uzbekistan, without regard to conflict-of-law principles. Disputes shall be resolved in the courts located in Tashkent, Uzbekistan, unless an alternative forum is required by applicable law.
